Legal Counsel  

We are seeking a highly skilled Corporate Lawyer to join our legal team at 7Gen Corporation. The Corporate Lawyer will play a crucial role in providing legal counsel and support to our diverse portfolio of companies. The ideal candidate will have a strong background in corporate law, exceptional analytical skills, and the ability to thrive in a fast-paced environment.

What are your responsibilities?

• Provide expert legal advice and guidance on corporate governance matters to senior management and various departments within the organization.
• Draft, review, and negotiate a wide range of contracts, agreements, and legal documents, including mergers and acquisitions, joint ventures, and strategic partnerships.
• Prepare a draft of opinions containing a statement of facts involved, the legal problems, the issues, a discussion of the applicable laws, the jurisprudence on the matter and the conclusion/opinion.
• Represent the Company on its going and pending cases.
• Ensure compliance with applicable laws, regulations, and corporate policies across all business activities.
• Conduct legal research and analysis to support decision-making processes and resolve complex legal issues.
• Manage corporate transactions from inception to completion, including due diligence, documentation, and closing activities.
• Collaborate with external legal counsel and other advisors as necessary to address specialized legal matters and ensure optimal outcomes for the organization.
• Stay informed about developments in corporate law and industry trends, and provide proactive advice and recommendations to mitigate legal risks and capitalize on opportunities.

• Must be a graduate of Juris Doctor (JD) and must be a member of the Philippine Bar.
• Minimum of 2 years of experience practicing corporate law and/or litigation, with a focus on transactional matters.
• Proven track record of success in advising corporate clients on complex legal issues and transactions.
• Strong understanding of corporate governance principles, securities regulations, and commercial law.
• Excellent drafting, negotiation, and communication skills, with meticulous attention to detail.
• Ability to work effectively both independently and collaboratively in a dynamic, team-oriented environment.
• Demonstrated ability to manage multiple priorities and meet tight deadlines while maintaining high-quality work.
• Strategic thinker with a proactive approach to problem-solving and decision-making.
• Commitment to upholding the highest ethical standards and integrity in all aspects of legal practice.
• Experience working in a corporate legal department or law firm.
